Please read these terms of use (the "Terms") carefully before accessing or using this website (the "Site"). Each time you use this site, you acknowledge that you have read and accepted these terms. If you do not accept these terms, do not use this website.

Authorisation

You may not use "spiders", "bots", or otherwise generate automated queries to the Site or "scrape" or otherwise download materials from the Site for any reason.

Definitions

Antibodies.com
Antibodies.com LLC, registered in the United States of America with EIN 92-0384576, and located at Helix Center, 1100 Corporate Square Drive, St. Louis, MO 63132, USA.
Customer
Any person or organisation purchasing Products from Antibodies.com.
Order
The Customers order for Products as set out on the relevant Antibodies.com order form (either online or otherwise).
Product
Any Product supplied by Antibodies.com to a Customer and / or any Product available through Antibodies.com's catalogue.
Internal Research Purposes
In Vitro use of Product by a party, its employees, and / or its agents as an end user in connection with its own internal research, development, or educational use and expressly excludes use for Commercial Purposes.
Commercial Purposes
Use for any commercial purpose of any kind, including without limitation: for any therapeutic, diagnostic, prophylactic, or in vivo purpose; for resale or transfer in any form (including as part of a kit) to a third party; for analysis or reverse engineering of the Product; for manufacturing; for the provision of services to third parties.

Basis of Contract and Order Acceptance

  • The Order constitutes a commitment by the Customer to purchase the Products in accordance with these Terms and Conditions.
  • These Terms and Conditions apply to the exclusion of any other terms which the Customer seeks to impose or incorporate, or which are implied by trade, custom, practice, or course of dealing unless otherwise agreed with Antibodies.com in writing. Antibodies.com may amend these Terms and Conditions from time to time by posting a new version on its website. The Terms and Conditions that will apply to a Customer’s Order will be those in place at the time that the Order was submitted to Antibodies.com.
  • Antibodies.com shall confirm in writing any Order placed by Customer and such confirmation will set out: arrangements for delivery, expected delivery time, and any other information relevant to the Order. Formal acceptance of the Order shall take place 24 hours after Antibodies.com provides the Order Confirmation to the customer / purchasing agent, unless the customer / purchasing agent raises issue with the order details or delivery terms in the interim, at which point a contract shall be formed between the parties subject to these Terms and Conditions.

Ordering

The following information is required to process an Order:

  • A Purchase Order Number or pre-payment by credit / debit card.
  • The name, phone number, and email address of the customer / purchasing officer, so that Antibodies.com may confirm details of the Order.
  • The name, phone number, and email address of the recipient / goods in department, so that couriers can contact them if required.

If your institution does not use issue Purchase Order Numbers, Antibodies.com may at its discretion use the Order date as the Purchase Order Number. In these instances, orders will not be dispatched until at least 24 hours after Antibodies.com has issued the Order Confirmation to the customer / purchasing agent. If no issues or queries are raised by the customer / purchasing agent in relation to the Order or Order Confirmation within this 24 hour window, the order becomes binding and will be fulfilled by Antibodies.com.

Shipping and Delivery

Shipments are made in accordance with Antibodies.com's standard commercial practices via a courier selected by Antibodies.com, unless otherwise agreed in writing between the parties. Delivery times are approximate but Antibodies.com will use commercially reasonable efforts to complete delivery as set out on the Order Confirmation.

Most products are shipped with blue ice packs to keep them cool during transit (approximately 4ºC). The ice packs may thaw by the time the product reaches you, however, this is usually perfectly fine and will not affect product quality. Antibodies.com will not issue replacement units simply because the ice packs have thawed in transit and requires the end-user to test the product(s) and submit the relevant troubleshooting form(s) to initiate our product quality guarantee.

Orders that are placed online and pre-paid by PayPal are subject to payment provider processing fee's. If an order is cancelled, either by mutual agreement or by the decision of Antibodies.com, for example, if the end-user is not an academic or industrial researcher and / or they intend to use the products for expressly forbidden purposes, payment will be refunded minus the payment provider processing fee's, as these fees are not refunded by PayPal.

Risk and Title

For all domestic shipments, that are shipped in accordance with Antibodies.com's standard commercial practices, Risk in Product passes on delivery. For all international shipments, and domestic shipments using the Customer's shipping account(s) with courier(s), Risk in Product passes once the shipment has been dispatched. Title to Product does not pass until the Product has been paid for in cleared funds.

Inspection

Packaging and Product should be inspected immediately upon receipt. Notification of damage, shortages, or defects should be communicated to Antibodies.com immediately by e-mail.

Return and Replacement Policy

Given the nature of the Product's offered, Antibodies.com operates a strict no returns policy and Orders cannot be cancelled after Formal Acceptance of an Order has occurred. If the Product does not perform as specified on its datasheet, the Customer must notify Antibodies.com within 30 days of delivery providing details of the relevant protocol(s) used. Antibodies.com will then examine the Customer’s protocol to determine whether the problem is protocol related or Product related. For protocol-related problems, Antibodies.com will provide reasonable independent advice. For Product-related problems, a replacement or refund will be offered as the Customer’s sole remedy.

Incorrect Orders

In the event of an incorrect Product being delivered, Customer must contact Antibodies.com immediately and store Products at 4°C in their original packaging and await further instructions. Customer must not attempt to return the Product(s) to Antibodies.com prior to receiving authorisation. For Products which have special shipping requirements (including those shipped on dry ice), Customer must store as indicated on the Products datasheet pending receipt of further instructions from Antibodies.com.

Price and Tax

Prices include freight, handling, and packaging, but do not include brokerage fees, import duties, and VAT (where applicable). Price and other information provided is subject to change without notice, and prices may be changed up to the time of dispatch. If prices change between the time of receipt of an Order and dispatch, Antibodies.com will contact the Customer in advance.

Invoicing and Payment

Invoices should be paid no later than 30 days after the invoice date, and the Customer must themselves pay any bank charges that are incurred in making the payment. Full payment instructions will be set out on the invoice. At any time and without notice, past due amounts under any invoice may be offset by Antibodies.com against over-payments, credits, or any other amounts due to the Customer from Antibodies.com. Antibodies.com reserves the right to charge interest on any overdue payments at the rate of 6% per annum. Limited License and Use Limitations

All intellectual property rights relating to Products are solely and exclusively owned by Antibodies.com and its Manufacturers. In respect of Products Customers purchase from Antibodies.com, Antibodies.com grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable, royalty-free licence under such intellectual property, to use such Products for Customer's own Internal Research Purposes.

Limitation of Liability and Exclusions

Antibodies.com shall not be liable for failure to perform any of its obligations resulting from circumstances beyond its reasonable control. Antibodies.com will notify Customers as soon as practically possible after it becomes aware of deficiencies in any Products supplied. Any claim relating to Products shall be limited to replacement or refund of original purchase price paid.

Antibodies.com will not be liable for any professional advice it may offer in relation to the use of Products nor any claims or applications not listed in the literature or any use other than Customer’s own Internal Research Purposes or the misuse of Products which will include using the Products for diagnostic, therapeutic, or in vivo use in human subjects. Antibodies.com cannot provide a guarantee for all applications for which a specific reagent may be used. Further, information disclosed in Antibodies.com Product literature should not be considered as a recommendation to use Product in violation of any patents.

Antibodies.com will not be liable for any inaccuracies in advertised ‘matches’. It is the belief of Antibodies.com that all ‘matches’ are correct, however, it is accepted that all end-users must confirm the accuracy of 'matches' themselves.

To the extent permitted by law, except for personal injury or death caused by Antibodies.com's negligence (for which no limit applies), Antibodies.com will not be liable (under contract, by negligence, or any other way) for any indirect or consequential loss or damage arising out of or in connection with the Products or these Terms and Conditions - even if Antibodies.com has been advised of the possibility of such damages and Antibodies.com's total aggregate liability for any loss or damage in respect of Product or this agreement will not exceed the amount paid for Product under the original Order.

To the extent permitted by law, except as set out in these terms, Antibodies.com disclaims and excludes all other warranties, conditions, terms, obligations, and liabilities in respect of Product provided by Antibodies.com, express or implied, whether by statute, law, custom, trade usage, course of dealings or otherwise, including without limitation those with respect to merchantability, quality, performance, non-infringement of third party rights or fitness or suitability for a particular purpose.

Confidentiality

A party (“Receiving Party”) shall keep in strictest confidence all technical or commercial know-how, specifications, inventions, processes or initiatives which are of a confidential nature and have been disclosed to the Receiving Party by the other party (“Disclosing Party”), its employees, agents or subcontractors and any other confidential information concerning the Disclosing Party’s business, its products and services which the Receiving party may obtain. The Receiving Party shall only disclose such confidential information to those of its employees, agents, and subcontractors who need to know it for the purpose of discharging the Receiving Party’s obligations under these Terms and Conditions, and shall ensure that such employees, agents and subcontractors comply with the obligations set out in this clause as though they were parties to the contract formed pursuant to these Terms and Conditions. The Receiving Party may also disclose such of the Disclosing Party’s confidential information as is required by law, any governmental or regulatory authority or by a court of competent jurisdiction.

General

Contracts formed pursuant to these Terms and Conditions shall in all respects be governed by and interpreted in accordance with U.S. law and the Courts of the United States of America shall have exclusive jurisdiction. If any provision of these Terms and Conditions is or becomes invalid or unenforceable, in whole or in part, in any jurisdiction, the validity and enforceability of the other provisions of these Terms and Conditions and its validity and enforceability in any other jurisdiction shall not be affected. Any failure (in whole or in part) to exercise or delay in exercising any right, power, or remedy available under these Terms and Conditions or in law will not constitute a waiver of thereof. Nothing in these Terms and Conditions is intended to provide any rights to third parties to enforce any term.
